Canonical: https://www.chejefe.com/terms-of-use ## General conditions AticoVentures, LLC, a limited liability company organized in the State of Florida, United States, with its address at 17121 Collins Avenue, Apto 4003, Sunny Isles Beach, FL 33160, operates the chejefe.com website and the Jefe product. In this document, «Jefe» or «we» refers to that entity and «the restaurant» or «you» to the business that hires or uses the service. By browsing the site, requesting a demonstration or using the platform, you accept these terms and the privacy policy published at /privacy-policy, which forms an integral part of this document. If you disagree with any part of it, do not use the service. These terms are the general framework of the service. The specific commercial conditions for each restaurant — applicable fee, currency, scope of the implementation, included integrations and termination conditions — are set out in a written proposal signed between the parties. In case of any difference between that proposal and this document, the written proposal prevails. This is the English version of the Terms of use. The Spanish version is published at /terminos-de-uso. Both versions carry the same content; in case of a discrepancy between them, the version written in the language of the signed written proposal prevails. ## Registration and account To operate with Jefe, the restaurant must provide truthful and up-to-date information about its identity and its business: corporate name or name of the owner, tax identification of the country where it operates, business address, contact details and the data required to enable collection of payments for orders. The restaurant is responsible for its access credentials and for the activity carried out from its account. If you detect unauthorized access, notify us immediately at felipe@chejefe.com. We may suspend access where there are reasonable indications of misuse, fraud or risk to the operation of third parties. ## Restaurant responsibilities The restaurant is the seller vis-à-vis its end customer. Jefe provides the channel and the tools; it does not prepare, sell or deliver the products, and it is not a party to the consumer relationship between the restaurant and the buyer. - Publish accurate information about menu, prices, ingredients, allergens, opening hours, delivery areas and estimated times. - Comply with the health, tax, consumer protection and licensing rules that apply in its jurisdiction. - Issue the tax receipts that correspond to the sales made through the channel. - Fulfil the orders received and resolve claims, refunds and cancellations with its customers. - Not use the platform for illegal, misleading or discriminatory content, nor for products whose sale is restricted without the corresponding authorization. - Not attempt to access data of other restaurants, compromise the security of the service, or automate its use in a way that degrades the operation of third parties. ## Jefe responsibilities We undertake to make available to the restaurant the functionality described in its written proposal, to apply reasonable technical and organizational measures to protect the information, and to give advance notice of relevant changes that affect the operation. The service is provided «as is» with respect to anything not committed in writing. We do not guarantee uninterrupted availability or the complete absence of errors: there may be interruptions due to maintenance, incidents at infrastructure providers, connectivity outages, or changes in third-party services on which some features depend. Nor do we guarantee commercial results. Jefe does not promise a sales volume, a given saving or a return on investment, and no statement on the site, the blog or the public calculator should be read as a promise of results. The calculator published at /calculadora-comisiones-delivery is an educational tool that works with the values you enter; it is not a settlement, a quotation or tax advice. ## Commissions, billing and payments Jefe is not a free service. The model published at /pricing starts from a commission per order processed in the direct channel, with payment processing included. Each restaurant's effective fee, the currency, the applicable taxes and any additional charge are defined in the written proposal, not in the general examples on the site. Taxes and withholdings that apply under the restaurant's jurisdiction are charged on top of the commission and are additional, unless the written proposal expressly states otherwise. Collecting payment from end customers may involve external payment processors. The settlement timelines, operating limits and chargeback rules of those processors govern the settlement of funds, and the restaurant accepts the conditions of the processor used in its market. Failure to pay amounts due entitles us to suspend the service after notifying the registered contact. ## Support The support channel is felipe@chejefe.com and the means listed at /contact. The scope of support — hours of coverage, committed response times and dedicated channels, if any — is the one stated in the restaurant's written proposal. If a service commitment is not in writing, it should not be assumed to be included. ## Cancellation and termination The restaurant may cancel the service at any time by notifying the contact channel in writing. Notice periods, the existence of minimum terms and the treatment of amounts already accrued are those established in the written proposal. We may terminate or suspend the service in the event of serious breaches of these terms, non-payment, fraudulent use, or when required by a competent authority. Except where legally prevented, we will give reasonable advance notice. On termination of the relationship, the restaurant may request an export of the information about its operation that we have available. Indicate that request during the cancellation process: the information may be deleted once the retention periods described at /privacy-policy have elapsed. ## Automated assistant and generated responses Jefe includes an assistant that answers queries and helps build the order automatically. Like any system based on language models, it may produce inaccurate, incomplete or unexpected responses, even when the loaded catalogue is correct. The restaurant is responsible for keeping the information that feeds the assistant up to date — menu, prices, availability, areas and hours — and for reviewing orders before confirming them. We recommend human supervision over conversations and not delegating to the assistant decisions about allergens, dietary restrictions, exceptional promotions or claims. Jefe is not liable for damages arising from an automated response where the restaurant loaded incorrect or outdated information, nor for the end customer's interpretation of a conversation that the restaurant was able to review before confirming the order. ## Intellectual property The software, the design, the Jefe brand, the site texts, the documentation and all material developed by us are the property of AticoVentures, LLC or its licensors. The agreement grants the restaurant a limited, non-exclusive, revocable and non-transferable right to use the platform while the relationship is in force. It does not include any right to copy, decompile, resell or create derivative works of the service. The content uploaded by the restaurant — trade name, logo, product photographs, descriptions and menu — remains its own. You grant us a limited licence to host, technically adapt and display that content within the product, in the digital storefront and in the sales channels you enable, for the sole purpose of providing the service. Any use of your brand, your photographs or your case in Jefe's commercial material, advertising or public communications requires your prior written authorization. We do not use a restaurant's content in our own campaigns without that consent. The restaurant represents that it holds the necessary rights over the content it publishes and is liable for third-party claims regarding that material. ## Personal data and privacy The processing of information collected through the site and the contact channels is described at /privacy-policy. That document governs and is updated independently of these terms. As regards end-customer data flowing through the restaurant's channel, the restaurant acts as controller of that data vis-à-vis its customers and Jefe acts as processor: it processes the data on the restaurant's behalf and in accordance with its instructions, in the context of providing the service. The restaurant must have the legal bases and privacy notices required by its jurisdiction, and must inform its customers that service may be assisted by automated systems. ## Integrations and third-party services The service relies on external providers: WhatsApp and its messaging infrastructure, payment processors, mapping services, logistics providers and integrations with management systems, among others. Those services have their own terms and policies, which the restaurant accepts when using them. We do not control the availability, pricing or rules of those third parties. A policy change, an account suspension or an interruption on the provider's side may affect product features, and that contingency does not constitute a breach on our part. When it occurs, we will work on a reasonable basis to restore or replace the affected feature. The public API and the MCP server on this domain, documented at /developers, are anonymous and read-only: they return only content that is already published, they do not create orders and they do not expose accounts or customers. Their use is subject to these terms and to reasonable consumption limits to prevent abuse. ## Limitation of liability To the maximum extent permitted by applicable law, the total liability of AticoVentures, LLC towards the restaurant for any claim connected with the service is limited to the amounts actually paid by the restaurant to Jefe during the twelve months preceding the event giving rise to the claim. We are not liable for lost profits, lost sales, reputational harm or indirect or consequential damages. Nothing in the foregoing limits liabilities that applicable law declares non-limitable, such as those arising from wilful misconduct or fraud. ## Changes to these terms We may update these terms to reflect changes in the product, in the providers it depends on, or in applicable regulations. The version in force is always the one published on this page, and the date at the foot indicates its last modification. Where a change substantively affects the restaurant's obligations, we will notify the registered contact with reasonable advance notice. Continuing to use the service after that notice implies acceptance of the updated version. ## Governing law and jurisdiction These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. Any dispute is submitted to the competent courts of Miami-Dade County, Florida, unless a mandatory rule of the restaurant's domicile provides otherwise. If any clause of this document is held invalid or unenforceable, the remainder stays in full force.
